Welcome to EAMS. These Terms of Service explain the rules that govern your use of the EAMS website, platform, applications, APIs, and related services. By using the website, creating an account, starting a free trial, or subscribing to any EAMS service, you agree to be bound by these terms. If you use EAMS on behalf of an organization, you confirm that you have authority to accept these terms on its behalf. These terms are not a substitute for tailored legal advice.
1.Who we are
EAMS is a unified, Arabic-first operating platform designed to help businesses, schools, and accounting offices manage daily operations, including finance, HR, sales, POS, school management, mobile apps, and AI-supported workflows.

2.Definitions
For these terms:
- “EAMS”, “we”, “us”, or “our” means [EAMS Legal Entity Name] and its services.
- “Service” means the EAMS website, platform, applications, APIs, and any related services or features.
- “Customer” means the company, school, office, or organization that creates an account or subscribes to the service.
- “User” means any person who uses the service under a customer account or independently.
- “Customer Data” means data, files, or records submitted, uploaded, or processed by the customer or its users inside EAMS.
- “Website” means eams.io and its related pages or subdomains.
- “Free Trial” means a limited period that allows a customer to try the service before subscribing to a paid plan, under the terms shown at signup.
3.Acceptance of terms
You agree to these terms when you:
- Visit or use the website.
- Create an account or accept a user invitation.
- Start a free trial.
- Subscribe to a paid plan.
- Use any EAMS application, API, or related service.
If you do not agree to these terms, you must not use the service.
4.Eligibility and authority
You must be legally able to enter into a binding agreement to use the service. If you use EAMS on behalf of an organization, you confirm that you have the required authority to bind that organization to these terms.
The customer is responsible for deciding who may use its account, assigning appropriate permissions, and ensuring that its users comply with these terms.
5.Accounts and login security
When creating an account, you must provide accurate and current information. You are responsible for maintaining the confidentiality of login credentials and for all activity that occurs under your account or your users’ accounts.
You must notify us immediately if you know or suspect that there has been unauthorized account use or any security incident related to the service.
EAMS may provide security features such as multi-factor authentication, permission management, activity logs, and access restrictions. The customer is responsible for enabling and managing the settings appropriate for its use case.
6.Website and public content use
You may use the EAMS website to learn about the platform, request a trial, contact us, or access public resources.
You must not:
- Attempt to disrupt the website or overload it in a way that harms performance.
- Copy or republish website content in a way that suggests a relationship or authorization that does not exist.
- Use the website to collect data through unauthorized automated methods.
- Use the EAMS name, brand, or content in a misleading way.
7.Use of the EAMS platform
EAMS grants you a limited, non-exclusive, non-transferable right to use the service in accordance with these terms, your subscribed plan, and any separate agreement between you and EAMS.
The service must be used only for lawful and legitimate purposes. The customer is responsible for system configuration, data entry, user management, permission settings, and reviewing outputs generated through the platform.
8.Free trial
EAMS may offer a free trial for a limited period, under the terms shown during signup or on the pricing page.
During the free trial:
- Some features or limits may apply depending on the trial configuration or plan.
- We may request basic information to create the account and organization.
- We may suspend or end the trial if it is used in violation of these terms.
- The transition to a paid subscription may vary according to the settings shown at signup.
Unless otherwise stated in writing, the free trial does not create a permanent right to use the service after the trial period ends.
9.Subscriptions, billing, and payment
Some EAMS services are provided under paid plans. By subscribing to a paid plan, the customer agrees to pay the fees shown at purchase or agreed in a separate contract.
Fees may include:
- Monthly or annual subscription fees.
- Fees for additional users, branches, or modules.
- Usage-based fees or consumption limits for some services.
- Fees related to payment services, messaging, AI usage, or integrations where applicable.
- Taxes or government charges required by country.
Payments may be processed through third-party payment providers. Use of payment gateways is subject to the payment provider’s terms and policies in addition to these terms.
10.Taxes
The customer is responsible for any taxes, duties, or government charges related to the use of or subscription to the service, except for taxes imposed directly on EAMS income.
EAMS may display tax amounts, invoices, or tax-related data inside the system, but the customer remains responsible for reviewing such data with its advisers and confirming its suitability for its legal and accounting circumstances.
11.Cancellation and renewal
Subscriptions may renew automatically or manually depending on the plan, account settings, or agreement with the customer.
The customer may cancel a subscription through the available account mechanism or by contacting EAMS. Cancellation may not result in a refund of prepaid fees unless the plan or written agreement states otherwise.
After cancellation, access to some features or data may be restricted according to data-retention policies, plan terms, and applicable legal requirements.
12.Customer Data
The customer retains its rights in Customer Data. EAMS does not own Customer Data merely because it is entered or processed inside the platform.
EAMS uses Customer Data only to provide the service, operate features, provide support, protect the platform, improve performance, and comply with legal or contractual obligations, according to the Privacy Policy and any applicable data processing agreement.
The customer is responsible for:
- The legality of data entered into the platform.
- Data accuracy and updates.
- Obtaining required consents from users, employees, students, parents, or end customers.
- Setting appropriate permissions for its users.
- Reviewing outputs and reports before relying on them.
13.Privacy and data protection
Our Privacy Policy explains how we collect, use, protect, share, and retain personal data.

When a business, school, or accounting office uses EAMS to manage personal data relating to people under its responsibility, that organization may be the data controller, while EAMS acts as a service provider or processor according to the contractual relationship.
14.Acceptable use
EAMS must not be used for illegal, harmful, or abusive activity. This includes, without limitation:
- Attempting unauthorized access to any system or account.
- Uploading malware or files containing malicious instructions.
- Disrupting or security-testing the service without authorization.
- Sending spam, fraudulent, or misleading messages.
- Violating the intellectual property or privacy rights of others.
- Entering unlawful data or data obtained without an appropriate basis.
- Attempting to bypass usage limits, technical restrictions, or billing controls.
- Using the service to create content that violates the law or third-party rights.
EAMS may suspend or restrict accounts that violate these rules or create risk for the platform, users, or customers.
15.AI features and EVA
EAMS includes AI features inside workflows, including EVA. These features are designed to help users understand data, draft content, summarize information, suggest actions, or perform tasks according to available permissions and settings.
The customer and users agree that:
- AI outputs may require human review.
- AI outputs should not be relied on alone for sensitive legal, tax, medical, financial, or educational decisions.
- The user is responsible for reviewing and approving any action before it is performed, especially where it has financial, legal, or operational impact.
- AI features may be subject to usage limits, permission settings, and audit logs.
- Some AI requests may be routed to external service providers under appropriate controls and the Privacy Policy.
EVA is not a replacement for management or professional judgment. It is an assistant inside workflows, subject to permissions, controls, and human review where applicable.
16.Compliance, tax, and school-related workflows
EAMS may include features designed to support workflows related to accounting, taxes, e-invoicing, payroll, schools, privacy, evidence, and audit.
These features help the customer organize work, document actions, and generate reviewable outputs. They do not replace the customer’s responsibility for:
- Reviewing data and outputs.
- Complying with applicable laws and regulations.
- Obtaining professional advice when needed.
- Preparing filings, documents, or submissions according to official requirements.
- Confirming that system settings are appropriate for the relevant country, activity, and industry.
EAMS uses phrases such as “designed to support” and “workflow-supported” when describing regulatory, tax, or compliance features. This does not imply government approval or regulator endorsement unless expressly stated in a suitable written agreement.
17.Integrations and third-party services
EAMS may integrate with third-party services such as payment gateways, messaging providers, maps, analytics tools, meeting platforms, storage systems, or AI providers.
Use of these services is subject to their own terms and policies. EAMS does not control every aspect of third-party services and is not responsible for outages, changes, or restrictions imposed by those providers.
Some integrations may require settings, access keys, or approvals from the customer or the external provider.
18.Notices and electronic communications
You agree that EAMS may send operational, legal, or administrative notices by email, in-app messages, SMS, or any communication method linked to your account.
Electronic records, emails, acceptance buttons, or account actions may be used as evidence of certain instructions, approvals, or notices where permitted by applicable law.
You must keep your contact information up to date inside your account.
19.Intellectual property
EAMS retains all intellectual property rights relating to the platform, website, trademarks, designs, code, interfaces, documentation, content, and operating models, except for Customer Data.
You must not copy, modify, sell, rent, redistribute, or reverse engineer any part of the service, or attempt to extract source code or build a competing service based on access to EAMS, unless expressly permitted in a written agreement.
20.Feedback and suggestions
If you send us feedback, ideas, or suggestions for improving EAMS, we may use them to develop or improve our services without an obligation to pay compensation, while respecting Customer Data confidentiality and rights.
21.Confidentiality
Each party may access confidential information belonging to the other party, such as technical, commercial, financial, or operational information that is not publicly available.
Each party agrees to use confidential information only for the purpose of performing the relationship between the parties, to take reasonable measures to protect it, and not to disclose it except to employees, advisers, or service providers who need to know it and are bound by confidentiality obligations.
Confidential information does not include information that becomes public without breach, was lawfully known before disclosure, was lawfully obtained from a third party, or was independently developed.
22.Changes to the service
We may improve the service, modify features, add new capabilities, or change interfaces or workflows from time to time.
We will work to avoid material changes that disrupt normal use of the service without a valid reason, and we will use appropriate methods to inform customers of important changes where practical.
23.Service availability and support
We aim to operate EAMS in a stable and secure manner. However, the service may occasionally be affected by maintenance, updates, technical failures, outages by third-party providers, or circumstances outside reasonable control.
Different support levels may be available depending on the plan or agreement. Support details, response times, or service-level terms, if any, are defined in the plan, contract, or a separate document.
24.Suspension or restriction
EAMS may suspend or restrict access to the service if:
- The customer or user violates these terms.
- There is a security risk or unauthorized use.
- The customer fails to pay according to the plan or agreement.
- The use harms the platform, users, or a third party.
- Suspension is required by law, regulatory request, or legitimate reason.
Where practical and appropriate, we will try to notify the customer before or after suspension and explain the reason and available steps to resolve the issue.
25.Termination
The customer may stop using the service according to the applicable plan or agreement.
EAMS may terminate or disable an account if a violation continues after notice, if the violation is serious, or if termination is required to protect the platform, users, or comply with law.
After termination, the customer or users may lose access to the service. Some obligations may continue after termination, such as unpaid fees, confidentiality, intellectual property, limits of liability, and any terms that by their nature should survive termination.
26.Data export and deletion
EAMS may provide tools or procedures for exporting Customer Data according to the plan and available settings.
After the relationship ends, data may be retained for a limited period for legal, accounting, audit, or security purposes, and then deleted, anonymized, or archived according to applicable policies and agreements.
Requests to delete or export personal data are subject to the Privacy Policy, applicable law, and the customer’s role as data controller where relevant.
27.Disclaimers
The service is provided “as is” and “as available” to the extent permitted by applicable law.
EAMS does not replace professional advice in legal, tax, accounting, financial, medical, educational, or HR matters. The customer should review important outputs, reports, and decisions with qualified professionals when needed.
EAMS is not responsible for decisions made by the customer based on inaccurate data entered by the customer, incorrect configuration, use in violation of these terms, or inappropriate reliance on automated outputs without human review.
28.Limitation of liability
To the extent permitted by applicable law, EAMS will not be liable for indirect, incidental, special, or consequential losses, including loss of profit, revenue, reputation, or data, arising from the use of or inability to use the service.
To the extent permitted by law, EAMS’ total liability for any claim related to the service is limited to the amount actually paid by the customer for the service during the period defined in the contract or, if there is no separate contract, during the twelve months before the event giving rise to the claim.
This section does not limit liability that cannot be restricted under applicable law.
29.Indemnity
The customer agrees to indemnify and protect EAMS from claims, losses, or costs arising from:
- The customer’s or its users’ use of the service in violation of these terms.
- Data or content uploaded or processed by the customer through the service.
- Violation of third-party rights.
- Violation of applicable laws or regulations caused by the customer’s use of the service.
- Failure to obtain required consents or permissions for processing data relating to users, customers, employees, or students.
30.Governing law and dispute resolution

31.Assignment and transfer

EAMS may transfer or assign its rights or obligations in connection with restructuring, merger, acquisition, sale of assets, or transfer of business, subject to applicable contractual and legal obligations.
32.Force majeure
EAMS is not responsible for delay or failure to perform caused by circumstances outside reasonable control, such as natural disasters, widespread communication or power outages, large-scale cyberattacks, conflicts, government actions, or failures by third-party service providers.
33.Severability
If any part of these terms is found unenforceable, the rest of the terms will remain effective to the maximum extent permitted by law, and the affected part will be interpreted in a way that best achieves its lawful purpose.
34.Entire agreement
These terms, together with the Privacy Policy and any applicable plan, purchase order, or separate contract, form the entire agreement between you and EAMS regarding use of the service.
If there is a conflict between these terms and a signed written contract between EAMS and the customer, the written contract controls to the extent of the conflict.
35.Updates to these Terms of Service
We may update these terms from time to time to reflect changes in the service, legal requirements, or operating practices.
When we make material changes, we will update the “Last updated” date and may use appropriate methods to notify customers or users. Continued use of the service after updates take effect means you accept the updated terms.
